Practice 03 · Real Assets

Real Estate Investment

Real estate is the most tangible of assets. Its legal title should be just as solid.

We advise investors on acquiring, holding, financing and selling real estate — single assets and portfolios, through direct ownership or investment structures.

What we do

Scope of the practice

Acquisitions & disposals

Asset and share deals for commercial, residential, hospitality and logistics property — from letter of intent to completion.

Legal due diligence

Title, encumbrances, permits, leases, land rights and corporate history — reported by risk and by its effect on price and structure.

Ownership structures & SPVs

Holding each asset or portfolio through vehicles that support financing, co-investment and a clean exit.

Investment structures

Club deals, co-investments and joint ventures between capital providers and asset managers.

Financing

Acquisition and refinancing facilities, security packages and the corporate approvals lenders require.

Portfolios & exits

Multi-asset transactions, portfolio reorganisations and exit by asset sale, share sale or recapitalisation.

Approach

How we approach projects

  1. 1

    Deal thesis

We start from the investment case — income, value-add or development — because it decides which risks matter most.

  2. 2

    Focused diligence

Due diligence reported by consequence: what changes price, what needs a warranty, what blocks the deal.

  3. 3

    Structure & documents

Choosing between asset and share deal, then drafting purchase, financing and holding documents to match.

  4. 4

    Completion & holding

Completion mechanics, registrations, post-completion integration and support through the holding period.

Cross-border capability

Cross-border capability

Real estate is governed by the law of the place where it sits, while the capital behind it often comes from elsewhere. For assets outside our home jurisdiction we act as the investor's lead counsel, structuring the investment and coordinating qualified local real estate counsel on title, registration and local formalities.
