Practice 07 · Digital Capital
A token is only as strong as the legal right behind it. We build the right first.
We treat digital assets as a new form of capital rather than a separate industry. We advise on linking tokens to real assets and enforceable rights, on the corporate structures behind digital asset projects, and on the regulatory analysis that determines how they can be offered.
What we do
Structures in which tokens represent interests in a property-holding vehicle, with title, income and transfer rights defined in law, not only in code.
Bringing real-world assets — receivables, commodities, funds, private company interests — into tokenized form.
Analysis of whether a token is a financial instrument, and structuring of offerings that respect securities rules.
Corporate wrappers, foundations and operating entities for protocols, DAOs and digital asset businesses.
Classification of tokens and activities under the applicable regimes, including MiCA in the EU, coordinated with local counsel.
Token terms, white papers, subscription and risk disclosures aligned with the underlying legal structure.
Who we advise
Typical matters
Illustrative of the matters we advise on — not a list of past engagements.
Approach
1
We begin with the underlying asset and the rights an investor should hold — the token is how those rights are recorded and transferred.
2
Regulatory classification is analysed conservatively; we do not design structures whose purpose is to avoid regulation.
3
Legal documents and smart-contract logic are reviewed side by side so they say the same thing.
4
Investor documentation, onboarding requirements and ongoing compliance once the structure is live.
Focused services
Cross-border capability
Digital assets are distributed globally by default, while regulation remains national or regional. We design the structure and coordinate regulatory analysis with counsel in the jurisdictions where the issuer is established and where investors are targeted. No structure can guarantee regulatory approval, and we say so plainly.
